Terms and Conditions

(current as at 7 January 2014)

These Terms and Conditions, together with the rate Card and the Advertiser’s [Application Form] ("Terms") govern all advertising placed on Kiwi Health Jobs (KHJ) by advertisers.

1. DEFINITIONS AND CONSTRUCTION

Fees and services means the Fees and Services specified in the Rate Card and [Application Form];

Rate Card means the Rate Card provided by KHJ to the Advertiser, or if not provided, KHJ’s then current Rate Card; and

[Application Form] mean the form completed by the Advertiser for placement of an advertisement with KHJ.

2. ADVERTISERS OBLIGATIONS

The Advertiser:

  • Will set up an Advertiser’s account with KHJ;
  • Agrees to proof read all advertisements placed by the Advertiser;
  • Warrants that the advertisement submitted by them for publication by KHJ and the publication (“Advertisement”) :
    • Is a genuine position as described in the Advertisement and that this is the sole purpose of the Advertisement;
    • The vacancy must be based in New Zealand;
    • Is not misleading or deceptive to potential candidates or other persons. In particular, the Advertiser warrants that the Advertisement and the Advertiser’s conduct in connection with the Advertisement is not liable to mislead persons seeking the employment as to the availability, nature, terms or conditions of, or any other matter relating to, the employment;
    • Does not contravene applicable anti-discrimination laws;
    • Does not contain any material that could reasonably be considered to be defamatory or offensive; and
    • Complies with KHJ’s Advertising standards and these Terms.
  • Acknowledges that KHJ reserves the right to reject, remove or suspend advertisements at any time should it so wish if they are in breach of KHJ Board advertising standards or which KHJ otherwise deems inappropriate and at its sole discretion.
  • Warrants that in accessing or visiting KHJ or any user account that it will not introduce any virus or other malicious harmful or destructive code.
  • Agrees that by providing the advertising material to KHJ, to the full extent permitted by law:
    • the content appearing on KHJ and the services is provided "as is" and without providing any warranties of any kind, whether express or implied.

3. KHJ OBLIGATIONS

KHJ agrees to:

  • Subject to these Terms, advertise the Advertisement for a total period of 30 days from the date of posting.

KHJ does not take any responsibility or have any liability what so ever to the Advertiser for the following:

  • Interruption to or inability to access the KHJ’s Job Board.
  • Any delay or failure in an Advertisement being posted, archived, restored from archive, or taken down or any change to the details or content of such Advertisement being made
  • Any matter, circumstance or thing beyond the control of Kiwi Health Jobs.

4. FEES AND PAYMENT

Invoices must be paid by the 20th of the following month that the invoice was sent to the Advertiser.

All rates are in New Zealand dollars and are exclusive of GST.

If the invoice has not been paid by the agreed date the KHJ has the right to charge interest on any overdue invoice at the rate of 1.5% per calendar month and remove any unpaid Advertisements’. This will be calculated daily on each day the invoice remains overdue. KHJ reserves the right remove all the Advertiser’s listings until such time as the overdue invoice and all applicable interest is paid.

5. CONFIDENTIALITY

The Advertiser agrees to keep confidential any information received from KHJ and any other information sourced or received in connection with these Terms and will not, without the KHJ prior written consent, divulge the same to any third party. This provision will not apply to:

(a) any information in the public domain other than in breach of this agreement;

(b) information obtained from a third party who is free to divulge the same; or

(c) disclosure of information which is required by law.

The provisions of this clause 8 shall survive the expiration or termination of these Terms.

6. LIABILITY AND INDEMNITY

The Advertiser indemnifies KHJ from any claim, loss or liability arising (whether directly or indirectly) in connection with the Job Advertisement or from any breach these Terms.

KHJ will not be liable under any circumstances for any loss of profits, indirect, consequential or incidental loss, damage or injury or any other form of loss which has not been listed here.

Advertisers must ensure that all advertisements posted to KHJ comply with applicable legislation, regulations, by-laws, ordinances and codes of conduct, including but not limited to:

  • Fair Trading Act 1986
  • Human Rights Act 1993

KHJ’s only liability to you in connection with the services are:

  • supplying the relevant Advertisement or service again; or
  • payment of the cost of having the relevant Advertisement or service supplied again; or
  • refunding the cost of the Advertisement in the KHJ’s sole discretion.

7. TERMINATION

KHJ may terminate these Terms immediately by notice in writing to the Advertiser if:

(a) the Advertiser commits any material breach of these Terms that is incapable of remedy;

(b) the Advertiser fails to remedy any breach of these Terms capable of remedy within fifteen (15) days of written notice by KHJ requiring that breach to be remedied; or

(c) there is a commencement of the liquidation or insolvency of the Advertiser (except for the purposes of solvent amalgamation or reconstruction) or upon the appointment of a receiver, liquidator, statutory manager or trustee of property or upon an assignment for the benefit of its creditors or upon that other party being unable to pay its debts in the ordinary course of business.

Upon termination of this agreement, clauses 7, 8 and 9 and all other provisions of these Terms that are intended to continue after termination will continue in full force and effect.

8. DISPUTE RESOLUTION

Neither KHJ nor the Advertiser shall commence any Court or arbitration proceedings related to a dispute arising out of or in connection with these Terms unless that party has first complied with this clause.

If a dispute arises in relation to these Terms the parties agree to enter into negotiations and to use all reasonable endeavours to resolve any dispute between them.

9. GENERAL

FORCE MAJEURE

Neither party (the affected party) will be liable to the other party for any delay or non-performance of the affected party’s obligations under these Terms arising from any cause beyond the affected party’s reasonable control, provided that:

  • the affected party promptly notifies the other in writing of the cause and the likely duration of the cause and takes all reasonable steps to remedy or abate the cause; and
  • the other party may terminate these Terms immediately on written notice to the affected party if the cause continues for more than 10 days.

VARIATION

These Terms may not be varied except by written agreement signed by each party, which will record that it is part of this agreement.

TAXES AND DUTIES

Unless otherwise expressly provided in this agreement, the Advertiser must pay all taxes, charges and other payments including, but not limited to sales tax, payroll tax, GST, levies, duties and assessments of every nature due in connection with the Services.

RELATIONSHIP

Both parties agree that in providing the Services, the Advertiser is independent to KHJ and not an agent, partner or employee.

ENTIRE AGREEMENT

These Terms constitutes the entire agreement between the parties relating to the performance of the Services and replaces all earlier negotiations, representations, warranties, understanding and agreements between the parties (whether oral or written) relating to the Services.

SEVERABILITY

In the event that any term of these Terms are subsequently found to be unenforceable, invalid or illegal for any reason whatsoever, the other terms will remain in full force and effect as if these Terms had been executed without such provision.

WAIVER

No exercise or failure to exercise or delay in exercising any right or remedy by a party will constitute a waiver by that party of that or any other right or remedy available to it.

NOTICES

Any notice or communication under these Terms between the parties may be delivered by letter email to the relevant contact details set out in the [Application Form].

Any notice shall be deemed to have been served 7 days after the date of posting or if delivered by hand on the date of delivery or if sent by email on the date when receipt of the email is acknowledged by the receiving party by return email or otherwise in writing, except that return emails generated automatically will not constitute an acknowledgement.

Any notice or communication received, or deemed received, after 5pm, or on a day that is not a Business Day, shall be deemed not to have been received until the next Business Day.

GOVERNING LAW

These Terms are governed by the laws of New Zealand and the parties submit to the exclusive jurisdiction of the courts of New Zealand.
